From one blog maniac to another, I feel that blogging gives us all an opportunity to express our opinions, good and bad, off the cuff and to the masses. I remember getting bad service in a Subway sandwich shop with my family, I sent out a twitter to my group and in 24 hours I received a personal apology from the franchise owner and the corporate office with a hefty supply of free food vouchers that literally lasted us a year. It’s nice to know that we are able to keep companies in check using social media.

That said, we should use these mediums to put out praise as well. I just left an NJIT (New Jersey Institute of Technology) conference for their incubator program where the latest and greatest in technology and biotech got to pitch their companies to angel investors and private equity firms. There were some pretty reputable companies their and investors that could pay off the deficit of a small country with their signature on a check. I was there looking at a company with a unique EKG technology that will revolutionize emergency rooms everywhere but that will be in another blog if we cut a deal; back to the conference.

We’re sitting in a room packed shoulder to should, no seats available just standing room by the door then a guy comes in, walks into the seating section (people waited in line for an hour for those seats) with his assistant, the people in their seat looked at him, he looked back and they moved and offered him their seats, then two minutes later, one of the owners of a pretty large hedge fund brings him coffee. Um, can you say strange?

And after the awe comes the anger and frustration when I think about the question of ‘how much money and power does a person need to be content and from where this twisted and almost sickening obsession with power and influence stem from?’ When you acknowledge the reality that there are invisible hands that dictate the positioning of political movements and economic chaos, success and failure and all the in-between it is a combination of liberating and all together frustrating. Strangely liberating in the sense that one is led to feel as if the weight of the actual ability to influence is taken off one’s shoulders as the ultimately have no real effect or say in the fate of their future while this is frustrating because it is human nature to feel the need to control the environment around them. I have studied this man, his company and the organizations that he works with and again am angered by the obscene control that one man can have over an international population. I am constantly steaming with emotional rage when I research these back room, closed door meetings where in an hour an agenda is set that will affect my children’s future, my life and the lives of those around me. What gives them the right? How does this happen where we lose control so fast with no fight from the public?

Part of me wants to give up and throw in the towel, the other part of me longs to be part of this illuminated assemblage of those who have stepped up to take control and bring a structure that unites the political and economic elite in today’s ever changing domain. So many times I’ve found myself sitting down to put together an article exposing this Illuminati group as puppet masters, evil doers and all together self-appointed gods of men but when this emotion driven ’cause’ is interrupted with the reality that these men are the oversight for out of control, power hungry political groups and econo-corporate monopoly junkies I can’t pick a position to guide the tone of the article.

We are angered by the power and influence that these men have over us but seriously, where would we be without them? Where would our economy be without men to step in with the instant legislative control to keep economies moving or to keep one particular political organization from turning our country into a principality controlled by a dictator? At the end of the day I think my real desire is to be part of the process and to be the overseer of the overseers and it all comes down to ‘control’. Isn’t that really what you want? The best way to get this done is by calling up localized competitors who have been affected by the market presence of this company and organize them as a regional militia that will infiltrate the entity and follow through on your behalf. To get them to the point of action, show them the advantages of owning the regional market share of this target. Offer them economic supplementation for their efforts. Use an outside social media vendor to help this militia gain the regional advantage and distribution mechanism under their name via your social media vendor. You need to stay in control of the social media distribution so that the information release is timed perfectly.

The attach must encompass the individual personally that initiated this process against your company. Every ounce of legitimacy they have must be called into question and then stamped out of existence so that their presence can’t possibly be perpetuated in the industry by getting another position in this particular niche. Then work your way up the management chain, each time mentioning the initiator that put this into motion.

In a typical economy investors will get involved and let their investment ride while the company restructures and pays out modest dividends prior to the payback of the Reg D payback.

Here is the problem with Regulation D, in these current economic conditions an investor is demanding a built in exit strategy with a time limit and the investment must be done in a strategic, solid manner. A prototypical, off the shelf PPM will have too many restrictions for an accredited investor to be able to sell their shares to a ready market which means the investor will need to hang onto those shares for 24+ months and just hope that the company doesn’t go broke during that period.

Here is an alternative. Use the regulation d rule 506 exemption as a pre public structure to raise just enough capital to get your company moving and use the additional proceeds to go public on the OTCBB (over the counter bulletin board). Place the pre public investor’s names on the s1 so that they can trade without restriction when the company is public just a few months later. There is you exit strategy and optimal capital raise. Seriously, sometimes I have to step back and laugh when I see company owners trying to pre-qualify consulting firms to take them public. I just stand there and scratch my head in disbelief when they think they are asking all the ‘right’ questions when all they are doing is setting themselves up for failure.

I recently had a company who claimed to have investors who wanted to invest in pre ipo deals. For a few weeks these guys called with a million questions and demands, most of which were contrary to basic SEC regulations and compliance. I tried to set them straight but they just didn’t get it. These guys who called themselves consultants really had no clue as to what they were doing and the questions they were asking me about my firm in order to qualify our firm were completely off base and were actually laughable. It was irritating at the time, now I just sit back and laugh as I chalk it up as another lesson learned and another relationship that fortunately did not come to fruition.

Here are some realities to consider when talking to a consulting firm to take your company public. First, no consulting group acts alone, instead they play quarterback or orchestrator to facilitate a smooth, stress free process. Most consulting firms that take companies public on the OTCBB will have securities attorneys on staff for the s1 filing, third party SEC approved auditors for the SEC audit, multiple market makers to choose from for the filing of the 15c211 and scores of Investor Relations contacts for post public market creation.

When doing due diligence on an Edgar link for S1′s in process you’ll only see the attorney information and the auditor. The Consultant has to be content to stand in the background making the entire process function and succeed with virtually no public claim or credit. If you’re doing due diligence on a consulting firm it’s more important to find out how vast their network is as opposed to being the predictable intellectual midget who will look up the consultants previous stock symbols and call the company and expect to miraculously get on the phone with a person who knows the consultant first hand. The mere thought is so ridiculous it’s redundant to even bring it up but this is something that uninformed people actually do as part of what they consider ‘due diligence’.

All you need to do is this: Talk to the senior partner at the consulting firm. Establish whether or not they are full service. Gain an understanding for how long it takes them to get you from S1 to trading symbol. If you want to do some real due diligence, find out about their post public investor relations strategy so your company not only goes public but can stay public and profitable.

Consulting firms who take companies public on the OTCBB are a small part of the whole but without them, the transaction couldn’t happen. They are the 24/7 worker bees doing the impossible for the ungrateful….until the symbol is achieved and the stock is trading properly, they you get a pat on the back and, “hey thank you so much for your hard work…what was your name again?” And I always respond, “you can call me whatever you want but on my Share Certificates you can put Princeton Corporate Solutions”.

OK, maybe that’s a bit of an exaggeration, of course they are going to remember my name but the reality is, solid due diligence by a company wanting to go public starts with a general evaluation of the consulting firm, some basic technical questions and then getting to the root and depth of their contact base to make sure your going public efforts are fast and smooth.

This group of elites has the economic and military power to impose its will and enforce the idea that the numbers that they place on that screen are etched in stone and if those numbers demonstrate a Loan to a developing nation, though no actual empirical capital has been transferred, that developing nation now becomes a willing pawn in the overall game of economic warfare. So there you have it, business is indeed a form of warfare. This industry of global finance serves as the royal court while those around us are forced to play by the rules we invent and enforce.

I’m not saying that this is a good thing, I’m not exactly proud to be part of the problem but this is the awkward reality. I know you’re waiting for a happy ending or an idea that will help create a solution but I don’t have one.
